The addition to the Nash Finch Company Records contains significant materials related to early Grand Forks operations of the Nash Finch Company, as well as the important merger between the Nash Company and Nash Finch Company in 1971. Materials consist primarily of legal and financial records including articles of incorporation, real estate documents, financial statements and accounts, tax records, board minutes, and stockholder information. Together, these records document company plans and operations as well as provide insights into many investment and expansion decisions over the century-long period covered by this addition. Some notable documents include articles of incorporation for Nash Brothers (1894), articles of incorporation and by-laws for the General Brokerage Company, a Grand Forks investment group (1909); minutes and information related to stockholders meeting held in 1910, 1925, and 1971; and a confidential research survey of Nash Finch's corporate retail business (1964).
Records within this addition document the activities of Nash Brothers Company, General Brokerage Company (GBC), Nash Coffee, Nash Company, Nash Finch Company (NFCO), the merger between Nash Company and NFCO, as well as NFCO branch, subsidiary, and franchise operations. Records for each major organization have been arranged in separate series. After indicating their original order within the collection, photographs and oversize materials have been separated and placed elsewhere within the Department.
Series I, Nash Brothers, consists of records from the Nash Finch operation in Grand Forks, which was called "Nash Brothers" from its inception to 1933 and again from 1942 through 1953. The company operated as "Nash-Stone" between 1933 and 1941. In 1954, "Nash Brothers" became "Nash Finch Company, Grand Forks." The Grand Forks operation was discontinued in 1961.
The series includes articles of incorporation (1894) as well as later amendments, original stocks, real estate documents, financial statements and inventories (1899-1914), stockholders meetings information (1910 and 1925), and tax records (1935-1961). Materials are arranged topically, then chronologically within each folder.
Series II, General Brokerage Company, consists of records from a brokerage business begun by W.K. Nash, F.P. Nash, H.B. Finch, T.P. Griffin (Minot, ND), and C.R. Winslow (Crookston, MN). The company's purpose was to "buy and sell all kinds of property" including real estate; wholesale and retail merchandise and groceries; stocks, bonds, and securities; as well as to "engage in the loaning and real estate business." GBC was capitalized at $50,000, divided into 500 shares of equal value.
The series includes articles of incorporation and by-laws (1909), minutes of annual and special Board of Directors and shareholders' meetings (MAR 1909-DEC 1919), Allotment Board's Executive Committee minutes (1910-1913 and 1914-1920), and a check register (MAY 1919-AUG 1920). Bound Allotment Board Executive Committee minutes list members, provide information pertaining to the sale and purchase of stock, and reveal the changing nature of GBC employee salaries and bonuses. The second volume contains an alphabetical index to employees. Check register entries are divided into debits and credits and indicate to whom a check was issued, reason for expense, check number, amount, and account from which check was drawn. Articles of incorporation and those shareholders' meeting minutes that were interleaved in the minute book have been separated and placed in folders. Bound materials are located elsewhere within the Department.
Series III, Nash Coffee Company, consists of single bound volume into which was pasted minutes of the Board of Directors meetings (MAY 1934-DEC 1937). The book's last entries include the "Voluntary Proceedings for the Dissolution of Nash Coffee Company" and the "Certificate of Trustee in the Voluntary Dissolution of Nash Coffee Company." Both forms are dated 15 DEC 1937. This bound volume has been separated from the collection as is located elsewhere within the Department.
Series IV, Nash Shareholders Company, consists of a cash book (AUG 1924-APR 1926), a journal (AUG 1925-AUG 1926), and issues the company's newsletter News About Share Holders (1924). Preceding and following cash books are volumes #70 and #56, respectively. Preceding and following journals are volumes #52 and #66, respectively (See previous OGL 1246 addition and its indexes, Accession 94-1935). The newsletters, dated FEB-DEC 1924 include of volume 1 numbers 1-3, 5, 7-11. Published monthly by the Nash Shareholders Company Personnel Department, each eight-page newsletter contains photographs, editorials, and articles related to the company and its personnel, and the grocery wholesale business. Many articles are written by W.K. Nash, H.B. Finch, and other company executives. Newsletters are arranged chronologically. The cash book and journal have been separated and located elsewhere within the Department.
Series V, Nash Company, consists primarily of tax and financial documents including income tax records (1956-1969), FICA quarterly reports (1960-1968), records pertaining to unemployment compensation (1960-1968), and Employee Pension Plan records (1963-1968). A more complete record of the Nash Company is contained in Nash Finch Company OGL #1246 boxes one through four. Folders have been arranged topically, then chronologically.
Series VI, Nash Company/Nash Finch Company Merger, consists primarily of Nash Company legal and financial documents as well as stockholder information and correspondence related to the merger between Nash Company and Nash Finch Company in June 1971. Legal documents include an SEC Registration File (1971-1972) and closing agreements (21 JUN 1971). Financial documents include a Nash Company audit report (1970), profit & loss estimates and correspondence (1970-1971), and annual reports and statements (1966-1970). The bulk of this series pertains to Nash Company stocks and stockholders. These documents include stockholder correspondence, a stock record and stockholder file, minutes from annual shareholder meetings (1970-1971), stock conversion information, contingent stock agreement, and the issuance of additional stock. Materials have been arranged topically, then chronologically. Additional information on the merger is available in OGL #1246-4-5.
Series VII, Nash Finch Company (NFCO), consists primarily of documents dating from 1960-1977. Records in this series include R.L. Nash correspondence (1971-1972); H.B. Finch correspondence (1976-1977); the duties, responsibilities, and minutes of the Executive Committee (1949-1977); stock option plans; profit sharing trust; and pensions. Researchers are advised to review a confidential, independent survey performed in 1964 that is also included in this series. The survey reviews NFCO performance, appraises its management; recommends objectives, policies, plans, staffing and organization; then outlines a plan of action to be undertaken by NFCO executives.
Much of the other materials within this series pertain to NFCO branches and affiliates. Among them are files related to the Park Grant merger (1965), Swanson's Stores, Inc. (1967), Cram's "Me Too" (1970), S.C. Shannon (1975), and the Grand Island, NE Jack & Jill store that was destroyed by a tornado (JUN-DEC 1980). Organizational charts and personnel lists for various elements within NFCO are also contained here (1973-1987). This series also includes company histories, NFCO anniversary celebration materials, public relations documents, photograph albums, and scrapbooks. Also included in this series is a general ledger stamped "Nash Finch Company" but may be a Nash Shareholders Company record (OCT 1925-APR 1930). Ledger entries are variously listed under headings "general ledger," "branch ledger," and "earnings."
Materials in folders are arranged topically, then chronologically. Photograph albums and scrapbooks have been separated and located elsewhere within the Department.
Series VII, NFCO Subseries A, Manuals & Procedures, consists of operational manuals pertaining to various NFCO operations. Manuals are related to NFCO computer operation, usage, and data processing; retail and wholesale accounting; franchise stores; merchandising, and bakery operations, among others. These manuals, which were originally housed in three-ring binders, have been disbound, placed in folders, and arranged alphabetically.
Series VII, NFCO Subseries B, Training, consists of NFCO employee educational and instructional materials. Most training documents are in the form of training programs and relate to many aspects of the wholesale and retail grocery business. Included within this series are training programs for grocery buyers/merchandisers, meat buyers, and computer/scanner usage. A bakery seminar and list of NFCO library resources is also included here. Most of the training, however, pertains to improving supervisory and management skills. These training program, which were originally housed in three-ring binders, have been disbound, placed in folders, and arranged alphabetically.
Series VII, NFCO Subseries C, Brand Name Labels, consists of packaging labels used on NFCO products. Brand names include "Cornhusker," "Dewy-Fresh," "Flako," "Golden Valley," "Jack & Jill," "Mark IV," "Our Family," "Pleasmor," "Valley Home," and "Warehouse Market." Some labels date from 1969, but most are not dated. Labels have been grouped by brand name, placed in folders, then arranged alphabetically.
